JYP Takeover Claim: Japan-Linked NEXROC Eyes 25–50% Stake, JYP Says No Offer Received

A Japan-linked group, NEXROC, and its unit SVCV say they may buy 25–50% of JYP at a 30% premium from Nov 20. JYP denies getting any proposal. What is confirmed, what is claimed, and what the Q1 2027 date really refers to.

TL;DR A little-known Japan-linked investment group, The NEXROC Group, and its entertainment unit SVCV said on October 26, 2026 that they are reviewing a plan to buy 25–50% of JYP Entertainment through a tender offer that could start as early as November 20. They floated a price about 30% above a reference price that has not been set yet. A day later, Korean outlets reported something else from NEXROC's company profile: the group says it wants to buy about 15 companies over five years, with the "first acquisition" scheduled for Q1 2027. JYP says it has received no proposal. The shares still jumped 14% after hours. No regulatory filing, proof of funds or named backer has been reported. Treat this as an unverified announcement, not a deal.

What happened

On the afternoon of October 26, 2026, NEXROC and SVCV, Inc. put out a press release saying they were pursuing a stake in JYP Entertainment (KOSDAQ: 035900). Hankyung, Sports Kyunghyang and KMJ reported these points:

  • Target: 25% to 50% of JYP's issued shares.
  • Price: the reference share price plus a 30% premium. How the reference price is calculated and the final terms are still to be decided.
  • Process: first, a non-binding letter of intent sent privately to JYP and 30 days of talks. If the talks fail, the group says it will make a further announcement about whether to launch a tender offer. It named November 20 as the target start date.
  • Stated purpose: expanding into Asian culture and entertainment.

KMJ also reported that the release carried a disclaimer saying the tender offer has not started and that the release is not a solicitation.

Where "Q1 next year" comes from

The headline that spread on Korean community boards came from a Sports Kyunghyang report on October 27. It says the Q1 timing is not about JYP. It comes from NEXROC's own company profile, which says the group plans to acquire about 15 companies over five years, with the first-stage acquisition slated for Q1 2027. The same report says SVCV is NEXROC's culture and entertainment business, that it announced on June 17 it was preparing to start operating in Japan, and that NEXROC plans to fully launch SVCV's entertainment and fashion business in 2027. None of the reports we checked named NEXROC's executives, owners, investors or past deals.

JYP's response

JYP's statement was carried by Newsis, Tenasia and Star News: "We have not received any proposal regarding the acquisition of shares in our company." Ilgan Sports first quoted the company as saying it was "checking." In the KMJ account, JYP said it was looking into the facts after the release went around. JYP has not filed a disclosure answering the reports.

Park Jin-young's stake

Founder and chief creative officer Park Jin-young holds about 15% of JYP together with related parties. In July 2026 he spent about 5 billion won of his own money buying 60,200 shares on the market. Korean reports said that raised his personal stake from 15.22% to 15.37%. A 25–50% block would therefore be larger than his holding, which is why reporters described the plan as a possible bid for control rather than a passive investment.

Stock reaction

Date (KST) Price move
Oct 26, regular close 36,000 won (-2.31%)
Oct 26, after-hours 42,150 won (+14.38%), intraday high 44,000 won
Oct 27, ~9:10 a.m. 39,250 won (+9.03%)

JYP's market cap is about 1.5 trillion won. That puts 50% of the company at roughly 750 billion won before any premium. For context, the stock was in the 90,000-won range in late 2023 and had fallen to about 46,650 won by mid-July 2026.

Regulatory context

Under Korea's Capital Markets Act, a tender offer formally starts when the bidder publishes a tender offer notice and files a tender offer statement with the Financial Services Commission. Bidders normally line up financing first, often with evidence such as escrowed funds or a financing commitment. KMJ, citing unnamed securities-industry sources, called the NEXROC approach unusual. It announced a deal worth hundreds of billions of won about a month ahead, without proof of funds, using a non-binding LOI. One analyst quoted in English-language coverage said announcing a tender plan in advance could draw scrutiny from Korean financial authorities. As of October 27, no regulator has commented in public, and we found no tender offer statement on file.

FAQ

Is someone actually buying JYP? Not as of October 27, 2026. No tender offer statement has been filed, no proof of funds has been reported, and JYP says it has received no proposal.

Does "first acquisition in Q1 next year" mean JYP will be acquired in Q1 2027? No. The Q1 2027 date comes from NEXROC's general plan to buy about 15 companies over five years. The JYP-specific date the group named is a tender offer start on November 20, 2026.

Can the bidders take control away from Park Jin-young? On paper, a 25–50% stake would be larger than the roughly 15% held by Park and related parties. In practice it would depend on financing, how many shareholders tender, and regulatory filings, and none of that has been shown.

What should be watched next? Any FSC/DART tender offer filing around November 20, any disclosure from JYP, and any reporting that identifies who is behind NEXROC and where its money comes from. This article is not investment advice.
